By purchasing, downloading, or using any products from The Elegant Visitors Distribution Strategist (the “Company,” “we,” “us,” or “our”), you (“Customer,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not purchase or use our products.

  1. ACCEPTANCE OF TERMS

By completing a purchase transaction, downloading digital products, or accessing
any content provided by The Elegant Visitors Distribution Strategist, you acknowledge that you have
read, understood, and agree to be bound by these Terms of Service, along with
our Privacy Policy and Refund Policy.

These Terms constitute a legally binding agreement between you and The Elegant Visitors Distribution Strategist.

2.1 DIGITAL PRODUCTS

We offer digital educational products, including but not limited to:

  • Digital Nomads Pro Blueprint™
  • Long-Stay Retirees Pro Blueprint™
  • Special Interest Groups Pro Blueprint™
  • The Complete Mediterranean Winter Revenue System™
  • Associated templates, tools, and resources

All products are delivered digitally as downloadable PDF documents, Excel
spreadsheets, and other digital file formats.

2.2 NATURE OF PRODUCTS

Our products are EDUCATIONAL RESOURCES designed to provide information, strategies, frameworks, and templates related to hospitality revenue management and guest acquisition.

Our products are NOT:

  • Legal advice or services
  • Accounting or financial advisory services
  • Business consulting services (unless explicitly purchased separately)
  • Guaranteed business results or outcomes
  • Substitutes for professional advice from licensed practitioners

2.3 EDUCATIONAL PURPOSE ONLY

All content provided is for educational and informational purposes only. You
are responsible for:

  • Determining whether strategies are appropriate for your specific situation
  • Consulting with qualified professionals (lawyers, accountants, business
    advisors) before making business decisions
  • Ensuring compliance with all applicable laws and regulations in your jurisdiction
  • Implementing strategies at your own risk
  1. PURCHASE AND PAYMENT

3.1 PRICING

All prices are listed in Euros (€) and are subject to change without notice.
The price charged will be the price displayed at the time of purchase.

3.2 PAYMENT METHODS

We accept payment via:

  • Debit cards
  • PayPal
  • Other payment methods as displayed at checkout

3.3 PAYMENT PROCESSING

Payments are processed securely through third-party payment processors (Stripe,
PayPal, or similar). We do not store your complete credit card information on
our servers.

3.4 CURRENCY CONVERSION

If your bank or credit card processes the transaction in a currency other than
Euros, currency conversion rates and fees are determined by your financial
institution, not by us.

3.5 TAXES

Prices do not include applicable taxes (VAT, sales tax, etc.) unless explicitly
stated. You are responsible for any taxes applicable in your jurisdiction.

For EU customers: VAT will be charged according to your country’s applicable
rate based on your billing address.

  1. DELIVERY AND ACCESS

4.1 IMMEDIATE DELIVERY

Upon successful payment, you will receive immediate access to download your
purchased digital products via:

  • Email with download links
  • Access to download page on our website
  • Account dashboard (if applicable)

4.2 DELIVERY TIMEFRAME

Digital products are typically delivered within 5 minutes of purchase. If you
do not receive access within 1 hour, please contact eric@visitorsdistribution.com
.

4.3 DOWNLOAD LIMITATIONS

Download links are valid for 30 days from purchase date. You may download the
files an unlimited number of times within this period. After 30 days, contact
support for renewed access.

4.4 FILE FORMATS

Products are delivered in standard digital formats:

  • PDF (Adobe Acrobat Reader required)
  • Excel/XLSX (Microsoft Excel, Google Sheets, or compatible software required)
  • Text files (any text editor)

You are responsible for ensuring you have appropriate software to open files.

4.5 TECHNICAL ISSUES

If you experience technical difficulties downloading or accessing products,
contact eric@visitorsdistribution.com within 7 days of purchase. We will assist in
resolving technical issues but are not responsible for:

  • Issues caused by your internet connection
  • Incompatibility with your devices or software
  • Loss of files after successful download (you are responsible for backing up
    your files)
  1. LICENSE AND USAGE RIGHTS

5.1 LICENSE GRANT

Upon purchase, we grant you a limited, non-exclusive, non-transferable,
non-sublicensable license to access and use the purchased digital products
for your personal or single business use.

5.2 PERMITTED USES

You MAY:

  • Download and save products to your personal devices
  • Print products for your personal use
  • Use templates, tools, and strategies for your own business (single property/
    organization)
  • Share with employees or team members who directly assist in implementation
    at your property

5.3 PROHIBITED USES

You MAY NOT:

  • Resell, redistribute, or share products with others outside your organization
  • Post products publicly (websites, forums, social media, file-sharing platforms)
  • Create derivative products based on our content for commercial sale
  • Remove or alter copyright notices or attribution
  • Use products for multiple properties unless multi-property license purchased
  • Share download links with others
  • Copy substantial portions of content into your own products or services

5.4 MULTI-PROPERTY LICENSE

If you own or manage 3+ properties and wish to use products across multiple
locations, you must purchase a multi-property license. Contact eric@visitorsdistribution.com for pricing.

5.5 COPYRIGHT ENFORCEMENT

We embed unique identifiers in each copy of our products. Unauthorized distribution
will result in:

  • Immediate license termination (no refund)
  • Legal action for copyright infringement (including recovery of damages and
    legal fees)
  • Removal of access to all current and future products

We take intellectual property theft seriously and will pursue all available
legal remedies.

  1. INTELLECTUAL PROPERTY RIGHTS

6.1 OWNERSHIP

All content, materials, designs, logos, trademarks, templates, and intellectual
property contained in our products are owned by The Elegant Visitors Distribution Strategist or our licensors and are protected by:

  • Copyright laws (national and international)
  • Trademark laws
  • Trade secret laws
  • Other intellectual property rights

6.2 TRADEMARKS

The following are trademarks of The Elegant Visitors Distribution Strategist:

prohibited and will be prosecuted to the fullest extent of the law.

make NO GUARANTEES about:

  • Business results or outcomes
  • Revenue generation or profit increases
  • Guest acquisition numbers or booking rates
  • Occupancy improvements

  • Non-infringement
  • Accuracy or completeness of information
  • Error-free operation

  • Any business losses (revenue, profits, customers, opportunities)
  • Any financial losses resulting from implementation of strategies
  • Any indirect, incidental, special, consequential, or punitive damages
  • Any damages arising from use or inability to use products
  • Any decisions made based on product content
  • Any results (or lack thereof) from implementing strategies

8.2 MAXIMUM LIABILITY

In no event shall our total liability to you for all claims arising from or
related to these Terms or your use of products exceed the amount you paid for
the specific product giving rise to the claim.

8.3 ESSENTIAL PURPOSE

You acknowledge that this limitation of liability is an essential element of
the agreement between you and The Elegant Visitors Distribution Strategist, and that we would not
provide products at the current pricing without these limitations.

8.4 JURISDICTION VARIATIONS

Some jurisdictions do not allow exclusion or limitation of implied warranties
or liability for incidental or consequential damages. In such jurisdictions,
our liability shall be limited to the greatest extent permitted by law.

  1. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless The Elegant Visitors Distribution Strategist, its owners, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

  • Your use or misuse of our products
  • Your violation of these Terms
  • Your violation of any third-party rights (including intellectual property
    rights)
  • Your business operations or decisions based on product content
  • Any claims by your guests, employees, or other third parties
  • Your violation of any applicable laws or regulations

  • Major revisions or new versions: May be offered as separate products

12.2 TERMS MODIFICATIONS

We reserve the right to modify these Terms at any time. Changes will be effective
immediately upon posting to our website. Your continued use of products after
changes constitutes acceptance of modified Terms.

We will notify you of material changes via email.

12.3 GRANDFATHERING

Terms in effect at the time of your purchase govern your purchase. Subsequent
changes do not retroactively affect your rights regarding products already
purchased, except where required by law.

  1. TERMINATION

13.1 TERMINATION BY YOU

You may stop using our products at any time. Termination does not entitle you
to a refund outside our 30-day refund policy period.

13.2 TERMINATION BY US

We may terminate or suspend your access to products immediately, without prior
notice, if you:

  • Violate these Terms
  • Engage in unauthorized distribution or sharing
  • Use products for illegal purposes
  • Abuse customer support or make fraudulent claims

Upon termination:

  • Your license to use products immediately ends
  • You must delete all copies of products in your possession
  • No refund will be provided
  • We reserve the right to pursue legal remedies for violations
  1. DISPUTE RESOLUTION

14.1 GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of
Switzerland, without regard to conflict of law principles.

14.2 JURISDICTION

You agree that any disputes arising from these Terms or your use of products
shall be subject to the exclusive jurisdiction of the courts located in Nyon, canton de Vaud, Switzerland.

14.3 INFORMAL RESOLUTION

Before initiating any formal legal proceedings, you agree to first attempt to
resolve disputes informally by contacting us at eric@visitorsdistribution.com with a detailed description of the dispute. We will attempt to resolve within 30 days.

14.4 ARBITRATION

If informal resolution fails, disputes shall be resolved exclusively in the
courts of Nyon, canton de Vaud, Switzerland, and you consent to personal jurisdiction in
such courts.

14.5 CLASS ACTION WAIVER

You agree to resolve disputes on an individual basis only. You waive any right
to participate in class actions, class arbitrations, or representative actions
against The Elegant Visitors Distribution Strategist.

14.6 SMALL CLAIMS COURT

Notwithstanding the above, you may bring qualifying claims in small claims
court if they meet the court’s requirements.

  1. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable,
the remaining provisions shall continue in full force and effect. The invalid
provision shall be modified to the minimum extent necessary to make it valid
and enforceable while preserving the parties’ intent.

  1. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Refund Policy, constitute
the entire agreement between you and The Elegant Visitors Distribution Strategist regarding the use of our products and supersede all prior agreements, understandings, and communications, whether written or oral.

  1. WAIVER

Our failure to enforce any provision of these Terms shall not constitute a
waiver of that provision or our right to enforce it in the future.

  1. ASSIGNMENT

You may not assign, transfer, or sublicense your rights under these Terms
without our prior written consent. We may assign our rights and obligations
without restriction.

  1. FORCE MAJEURE

We shall not be liable for any failure or delay in performing obligations under
these Terms due to circumstances beyond our reasonable control, including but
not limited to:

  • Acts of God (natural disasters, pandemics)
  • War, terrorism, civil unrest
  • Government actions or restrictions
  • Internet or telecommunications failures
  • Cyber attacks or security breaches
  • Failures of third-party service providers
  1. SURVIVAL

Provisions of these Terms that by their nature should survive termination shall
survive, including but not limited to:

  • Intellectual property rights
  • Limitation of liability
  • Indemnification
  • Dispute resolution
  • Governing law
  1. HEADINGS

Section and paragraph headings are for convenience only and shall not affect
the interpretation of these Terms.

  1. LANGUAGE

These Terms are written in English. Any translations are provided for convenience
only. In case of discrepancies, the English version shall prevail.
